লিগ্যালThese Terms & Conditions (“Terms”) govern your access to and use of the websites, software, and services provided by Biponik (“Platform”, “we”, “us”, “our”). By registering a merchant account, subscribing to a plan, or otherwise using the Services, you (“you”, “Merchant”) agree to these Terms. If you are accepting on behalf of a company, you represent that you have authority to bind that entity.
1. The Services
Biponik provides a hosted multi-tenant commerce platform that allows Merchants to create and manage online stores, sell products or services, accept payments where integrated, and use related tools (collectively, the “Services”). We may modify, suspend, or discontinue features with reasonable notice where practicable, except for urgent security or legal reasons.
2. Eligibility
You must be at least the age of majority in your jurisdiction and capable of entering a binding contract. You must provide accurate registration information and keep it updated. You are responsible for all activity under your account and for maintaining the confidentiality of your credentials.
3. Merchant responsibilities
3.1 Your store and content
You are solely responsible for your storefront content, products, pricing, taxes where applicable, shipping, refunds, and compliance with laws governing your business (including consumer protection, product safety, and intellectual property).
3.2 End customers
Your relationship with your customers is between you and them. You must handle personal data in accordance with applicable privacy laws and your own privacy policy. We process certain customer data only as needed to operate the Services and as described in our Privacy Policy.
3.3 Prohibited conduct
You agree not to use the Services to: violate law; infringe intellectual property; distribute malware; send unsolicited bulk messages; interfere with or disrupt the Platform; attempt unauthorized access; scrape or overload systems; or list prohibited or illegal goods where restricted by law or our policies.
3.4 Prohibited products and content
You must not use the Services to list, promote, advertise, sell, or facilitate the sale of any product, service, or content that is illegal under the laws of the People's Republic of Bangladesh or otherwise prohibited by us. Prohibited items include, without limitation:
- Narcotics, illegal drugs, controlled substances, and drug paraphernalia; alcohol and any product whose sale is restricted or banned under Bangladeshi law;
- Pornography, sexually explicit or obscene material, escort or other adult services, and any content that sexually exploits or endangers minors;
- Firearms, ammunition, explosives, weapons, and other militaristic or dangerous goods;
- Counterfeit, replica, or pirated goods, and items that infringe another party's trademark, copyright, or other intellectual-property rights;
- Human body parts or organs, endangered or protected wildlife, and prohibited animal products;
- Stolen goods, and items obtained through fraud or other unlawful means;
- Prescription-only medicines and medical devices offered without lawful authorization;
- Hate speech, content promoting terrorism, violence, or unlawful activity, and material that is defamatory or violates the religious or communal harmony of Bangladesh;
- Gambling, betting, lottery, and similar services where restricted by law; and
- Any other goods or services that are unlawful, or that we determine in our reasonable discretion to be harmful, deceptive, or inappropriate for the Platform.
You are solely responsible for the legality of everything you list. We may, at any time and without prior notice, remove any listing, suspend or terminate any store, and, where required, report the matter to the relevant authorities, if we believe in good faith that this section has been violated. We may use automated and manual means to monitor stores for prohibited content, but we are under no obligation to do so, and our monitoring does not relieve you of your own responsibility for compliance.
4. Subscription, fees, and payment
- Fees are shown on the pricing page and in your checkout flow. Unless stated otherwise, subscription fees are billed in the currency displayed (e.g. BDT) for the billing period selected (e.g. monthly or yearly).
- Payments are processed by third-party gateways (such as bKash or SSLCommerz). Your use of those services is also subject to their terms.
- Renewals: unless you cancel in accordance with the process we provide, subscriptions may renew automatically for successive periods at the then-current price.
- Taxes: you are responsible for any taxes applicable to your purchases from us, as determined by law.
- Refunds: paid subscription fees may be refunded within 7 days of payment if eligible, see our Refund policy. Free plans and fees outside that window are generally non-refundable unless required by law.
- Wholesale: if your store buys from, or supplies, the Biponik wholesale hub, our Wholesale rules apply in addition to these terms.
5. Acceptable use and fair use
You will not misuse the Services, including by circumventing technical limits, reselling access without authorization, or using the Platform in a way that harms other Merchants or degrades shared infrastructure. We may throttle or suspend resource-intensive usage that impacts platform stability.
6. Intellectual property
We retain all rights in the Platform, software, branding, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to use the Services for your business during your subscription. You grant us a licence to host, copy, and display your content solely as needed to provide the Services.
You must have rights to all content you upload. Do not upload materials that infringe third-party rights.
7. Data and backups
We implement backups and redundancy designed for platform reliability, but you are responsible for maintaining independent copies of critical business data where appropriate. See our Privacy Policy for how we handle personal data.
8. Suspension and termination
We may suspend or terminate access if you breach these Terms, fail to pay amounts due, pose a security risk, or if required by law. You may close your account according to the process we provide. Upon termination, your right to use the Services ceases. Provisions that by nature should survive (e.g. liability limits, indemnity, governing law) will survive.
9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR AFFILIATES, OFFICERS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICES IN THAT PERIOD (OR, IF NONE, TO THE MINIMUM AMOUNT ALLOWED BY LAW).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.
11. Indemnity
You will defend and indemnify us against claims, damages, losses, and expenses (including reasonable legal fees) arising from your content, your store, your violation of these Terms, or your violation of third-party rights.
12. Changes to the Terms
We may update these Terms. We will post the revised version and update the “Last updated” date. For material changes, we may provide additional notice (e.g. email or dashboard notice). Continued use after the effective date constitutes acceptance where permitted by law.
13. Governing law and disputes
These Terms are governed by the laws applicable in Bangladesh, excluding conflict-of-law rules, unless mandatory consumer rules in your jurisdiction provide otherwise. Courts located in Bangladesh shall have exclusive jurisdiction, subject to any non-waivable rights you may have.
14. Miscellaneous
- Entire agreement. These Terms and policies referenced herein constitute the entire agreement regarding the Services.
- Severability. If a provision is invalid, the remainder remains in effect.
- Assignment. You may not assign these Terms without our consent; we may assign in connection with a merger or sale.
- Force majeure. We are not liable for failure or delay due to events beyond reasonable control.
